History’s Greatest Business Trips Bracket Challenge (the "Challenge") is open only to legal residents of the 50 United States and Washington, D.C. and who meet both of the following criteria:
(a) Are at least 18 years of age (or the age of majority in the jurisdiction of their residence, whichever is older); and
(b) Are employed by, own (including partners and shareholders), or are otherwise associated with (i.e., as an independent contractor) a business entity and have traveled at least once on a business trip in 2017-2018.
Members of the general public – i.e., all other persons – are NOT eligible for the Challenge. Without limiting the foregoing, employees of The Upside Travel Company, LLC. (“Upside” or “Sponsor”), its respective parent, subsidiary, related and affiliated companies, and the immediate family and household members of all such foregoing individuals, are not eligible to enter or win. "Immediate family members" shall mean parents, step-parents, children, step-children, siblings, step-siblings, domestic partners or spouses, regardless of where they live. "Household members" shall mean people who share the same residence at least 3 months a year, whether related or not. Potential winners may be required to provide proof of eligibility prior to prize award.
Challenge Entry Period:
The Challenge begins 12:00:01 AM Eastern Time (“ET”) on March 14, 2018 and ends at 11:59:59 p.m. ET on April 5, 2018 (“Challenge Entry Period”). Sponsor’s computer is the official clock for the Challenge.
How to Enter:
To enter during the Challenge Entry Period go to www.GreatestBusinessTrips.com, which will take you to the Challenge home page (the “Website”). To submit an entry (“Entry”), complete the Challenge entry form on the Website. You will be asked to provide your name, your leaderboard user name, valid e-mail address, and answer two questions related to your travel frequency.
You must vote on your selections of the best business trips which either you like the best or which you think are more likely to win from competing pairs of Upside selected business trips (each competing pair is referred to as a "Bracket") to participate in the Challenge. The business trip that receives the most votes for best business trip from all entrants per Bracket will be referred to as "Best Business Trip.”
There will be 5 tiers of Brackets and you will need to vote a total of 63 times.
• The first tier of Brackets will be comprised of 2 sets of 16 Brackets.
• The winning Best Business Trips from all votes tallied from the first tier Brackets will advance to the second tier (2 sets of 8 Brackets).
• The winning Best Business Trips from all votes tallied from the second tier Brackets will advance to the third tier (2 sets of 4 Brackets).
• The winning Best Business Trips from all votes tallied from the third tier will advance to the fourth tier (2 sets of 2 Brackets) and then the fifth (1 Bracket).
How to Win:
The entrant with the greatest number of points will win the Challenge. Best Business Trips will each be assigned values as follows:
• The first tier of Brackets = one point.
• The second tier of Brackets = five points.
• The third tier of Brackets = ten points.
• The fourth tier of Brackets = twenty points.
• The fifth and final Bracket = fifty points.
If you vote for a trip that is a Best Business Trip, you will receive the point value assigned to the Bracket. You will not receive any points for trips that you select which are not deemed Best Business Trips. (For example, if you vote for the Best Business Trip in five of the first tier Brackets (point value:1x5=5), 3 of second tier Brackets (point value: 5x3=15), 2 of the third tier (point value: 10x2=20) but don't vote correctly on the fourth or final Brackets, you will have a total of 40 points.)
Leaderboard Rankings: Entrants may view their points tied to their username on the leaderboard on the Website. The display of points posted online at any given time are not guaranteed to be an accurate or up-to-date reflection of the current points earned; therefore, entrants cannot rely upon the display to determine their current points or their eligibility to win any prize. There may be delays in the display of real-time points earned due to technical functions. In the event of any technical issues that arise for any reason, or any dispute pertaining to number of points earned, Sponsor reserves the right to, in good faith, suspend or cancel the Challenge or to determine the points earned.
In the event of a tie for the greatest number of points, Sponsor will randomly draw the winner from all tying entrants in which case the odds of winning will be determined by the number of tying entrants.
Mechanical or computer-generated Entries will be void. Limit: one Entry per person/email address. Multiple Entries or mass entry attempts will result in disqualification of all entries by such person. Entries must be manually key-stroked by the entrant; use of automated entry devices or programs, or entries by third parties, are prohibited.
Potential winner will be notified by e-mail on or about April 24, 2018. Failure to respond to the initial notification e-mail within 3 business days after transmission to the potential winner or return of the e-mail notification as undeliverable after 2 attempts will result in disqualification. Winners will be required to complete, sign and return within 10 days of transmission, an Affidavit of Eligibility, a Liability Release and Indemnification, and a Publicity Release, where allowed by law (“Release”). If potential winner does not respond to the initial notification attempt within 3 business days after transmission as set forth above, if Release is not returned to Sponsor within the specified time period, if the prize notification is returned as non-deliverable, if potential winner is found to be ineligible or otherwise not in compliance with these Official Rules, or if potential winner does not accept the prize for any reason, the prize may be forfeited and the potential winner will be disqualified. If a potential winner is disqualified for any reason, the next runner up will be selected. Sponsor reserves the right to modify the notification procedures in connection with the selection of an alternate winner, if any. In the event of any dispute concerning the identity of any entrant, the entry will be deemed submitted by the natural person who is the authorized holder of the transmitting e-mail account who must be eligible as per these Official Rules. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. If there is a dispute as to the identify of any potential winner, Sponsor reserves the right in its sole discretion to select another winner and the potential winner who was the subject of any such dispute will forfeit all rights to a prize.
One Prize winner will receive $5,000.00 in the form of a check in the name of the winner. Prize is not transferable. All federal, state and/or local taxes is the sole responsibility of the winner. Winner will receive an IRS Form 1099 reflecting the value of prize awarded.
Award of prize is subject to the written company policy of winner’s employer/business entity owned by winner/business entity with which winner is otherwise associated (i.e., as independent contractor), as applicable, as to the receipt of gifts/prizes/awards from third party entities, to the extent applicable.
Conditions and Limitations of Liability:
By participating, each entrant agrees: (a) to be bound by these Official Rules and the decisions of Sponsor, which shall be final in all respects; and (b) to release, discharge and hold harmless Upside, any promotional agency or other entity responsible for the administration of this Challenge, each of the foregoing entities’ respective parent, subsidiary, related, affiliated and successor companies, and each of their respective officers, directors, agents, representatives and employees (collectively, the "Released Parties") from any and all actions, claims, injury, loss or damage, including, without limitation, death and bodily injury, arising in any manner, directly or indirectly, in whole or in part, from participation in this Challenge or any Challenge-related activity, and/or from entrant’s acceptance, receipt, use or misuse of any prize (including without limitation, any failure to pay taxes thereon).
If for any reason the Challenge is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud or technical failures beyond Sponsor’s control that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Challenge, Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process, and to terminate, modify or suspend the Challenge. In such event, Sponsor reserves the right to conduct the Challenge and award the prize based on points already received or by means of a random drawing comprised of all eligible Entries received prior to and/or after (as appropriate) the action taken by Sponsor or otherwise award the prize in a manner which is fair, appropriate and consistent with these Official Rules, as determined by Sponsor in its sole discretion. Notice of termination/modification/suspension of Challenge will be posted on the Website. Without limitation of any other term here, Sponsor and its agencies are not responsible for failed, partial or garbled computer transmissions, technical failures of any kind (including but not limited to electronic malfunction or damage of any network, hardware or software), any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or loss, destruction or unauthorized access to, or alteration of, Entries; or any problems or technical malfunctions of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or electronic Entry to be sent/received (i.e., either sent by Sponsor to entrant or from entrant to Sponsor, as the case may be) and/or properly recorded (or recorded altogether), as applicable, on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to entrant's or any other person's computer or mobile device related to or resulting from participation in this Challenge.
Entrants further agree not to knowingly damage or cause interruption of the Challenge and/or prevent others from participating in the Challenge. CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE OR WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CHALLENGE VIOLATES CRIMINAL OR CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE, SPONSOR MAY DISQUALIFY ANY ENTRANT MAKING SUCH ATTEMPT AND SEEK DAMAGES TO THE FULLEST EXTENT OF THE LAW.
By accepting a prize, winner grants Sponsor, and its designees, permission to use his/her name, voice, likeness, photograph, prize information, biographical data and city and state of residence on a winners' list (if applicable) and for programming, publicity and promotional purposes, worldwide in all forms of media now known or hereafter developed, in perpetuity, without further compensation unless prohibited by law. Winner further agrees, upon Sponsor’s request and without further compensation, to use commercial reasonable efforts to assist Sponsor in securing necessary consents from the corresponding business entity to identify such business entity for programming/publicity/promotional purposes. Sponsor and its designees are not obligated to use any of the above-mentioned information or materials, but may do so and may edit such information or materials, at Sponsor’s sole discretion, without further obligation or compensation. Challenge is subject to the laws of the United States only. All federal, state and local laws and regulations apply. All Entries become the property of Sponsor and will not be acknowledged.
Disputes: Arbitration/Choice Of Law:
Except where prohibited, entrants agree that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Challenge, or the awarding of prizes/determination of prize winner, shall be resolved individually, without resort to any form of class action, and exclusively by arbitration pursuant to the Rules of the American Arbitration Association (“AAA”), then effective (notwithstanding the foregoing, entrant shall not be precluded from seeking relief in small claims court for disputes/claims within the scope of the jurisdiction of small claims court and any remedies available to entrant under applicable federal, state or local law remain available to entrant and are not waived pursuant to this section); (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Challenge but in no event attorneys’ fees; and (c) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, any and all rights to have damages multiplied or otherwise increased and any and all rights to injunctive relief. The arbitrator hearing such dispute/claim/cause of action shall be neutral and the entrant will have a reasonable opportunity to participate in the selection of the arbitrator. Such arbitration will take place at a location near the entrant’s residence and the entrant has the right to an in-person hearing in the arbitration proceeding, if desired. The arbitration will allow for the discovery and/or exchange of non-privileged information between entrant and Sponsor. Should an entrant initiate arbitration pursuant to this section, the entrant shall be responsible for AAA’s fees to do so (approximately, $200), with all other costs of such arbitration being borne solely by Sponsor. If entrant is a California resident and Sponsor is the prevailing party in such arbitration, such entrant will not be responsible for Sponsor’s costs and fees in conjunction with the arbitration proceeding; BUT, IN ALL OTHER CASES, ENTRANT WILL BE RESPONSIBLE FOR SUCH COSTS/FEES IF REQUIRED BY THE ARBITRATOR’S RULING. For the avoidance of doubt, the requirement to arbitrate disputes pursuant to this section is reciprocal and binding both upon entrants and Sponsor. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and/or Released Parties in connection with the Challenge, shall be governed by, and construed in accordance with, the laws of the District of Columbia, without regard for conflicts of law doctrine of the District of Columbia or any other jurisdiction.
